General Terms and Conditions (GTC)
General Terms and Conditions for the koziol - B2B Retail Shop
Status: October 22, 2026
These General Terms and Conditions apply exclusively to business dealings with entrepreneurs, legal entities under public law, and special funds under public law. Sales to consumers via this B2B retail shop are excluded.
1. Scope of Application and Contracting Party
The contracting party is koziol »ideas for friends GmbH, Werner-von-Siemens-Straße 90, 64711 Erbach, Deutschland (hereinafter "koziol"). These terms apply to all purchase and delivery contracts initiated via the koziol - B2B Retail Shop, unless otherwise expressly agreed upon in text form in an individual case. Deviating terms and conditions of the customer shall only apply if koziol has expressly consented to their validity in text form.
2. Order and Conclusion of Contract
The presentation of products in the shop does not constitute a legally binding offer by koziol, but rather an invitation to the customer to place an order.
By clicking the "Place binding order" button, the customer submits a binding offer to conclude a purchase contract for the goods listed in the order process. The customer is bound to this offer for five working days after receipt of the order by koziol. A statutory right of withdrawal for consumers does not exist in pure B2B business.
The automatic acknowledgment of receipt merely documents receipt of the order and does not yet constitute acceptance. A contract is only concluded when koziol accepts the order within the binding period by means of an order confirmation in text form or by shipping the goods.
koziol may accept an order in whole or in part. An order confirmation that deviates from the order regarding quantity, price, delivery date, shipping costs, payment terms, or other essential points is deemed a new offer from koziol in this respect. A contract regarding the deviation is only concluded when the customer expressly accepts this new offer in text form. Silence on the part of the customer does not constitute consent. The unaffected and expressly confirmed part of an order may be accepted as an independent partial order, provided this is reasonable for the customer.
If an order cannot be accepted, in particular due to lack of availability, incorrect product or price data, failure to reach packaging units, lack of creditworthiness, or other factual reasons, koziol will inform the customer immediately. Payments already received for unaccepted items will be refunded immediately.
3. Assortment, Product Information, Availability, and Packaging Units
The product description, item number, color, packaging unit (PU), and the price shown in the order are decisive. Illustrations may differ slightly from the delivered product due to production or display reasons, provided this does not significantly impair the agreed quality and use.
Orders are only possible in the packaging units or their multiples indicated for the respective item number. Inventory levels and delivery times displayed in the shop are non-binding snapshots. Even if a stock level of zero is displayed, an order may be placed; this may result in longer delivery times.
4. Prices, Sales Tax, and Shipping Costs
Dealer prices are net prices plus the applicable statutory sales tax. Prices marked as RRP are non-binding recommended retail prices including sales tax and are not the dealer's purchase price.
Additionally, the shipping costs indicated in the checkout or in the order confirmation apply. The delivery country, shipping method, and the terms stored for the respective customer are decisive. To the extent that the final shipping costs cannot yet be determined during checkout, they will be indicated in the order confirmation; a significant change compared to the order requires the express acceptance by the customer in accordance with Section 2.
5. Payment Terms
The payment terms indicated in the customer account, the checkout, or the order confirmation apply. Unless otherwise agreed, delivery is made against prepayment. koziol may make the acceptance or execution of an order dependent on an advance payment or an appropriate security deposit, especially if justified doubts about the customer's solvency arise after the conclusion of the contract.
In the event of default in payment, the statutory consequences of default apply. The right to assert further damages for delay remains reserved.
6. Delivery, Delivery Dates, and Partial Deliveries
Delivery dates are only binding if they have been expressly confirmed as binding by koziol. Partial deliveries are permitted insofar as they are reasonable for the customer; the customer will only incur additional shipping costs if this has been agreed upon.
In the event of force majeure or other events unforeseeable at the time of contract conclusion and for which koziol is not responsible, in particular operational disruptions, lawful labor disputes, shortage of energy or raw materials, official measures, transport disruptions, or failure to receive deliveries on time despite congruent covering transactions, delivery periods will be extended appropriately. If performance becomes permanently impossible or unreasonable, both parties may withdraw from the contract with regard to the affected part of the performance. Statutory rights remain unaffected.
7. Passing of Risk
For delivery and the passing of risk, the DAP or FCA delivery term agreed for the respective order, specifying the precise place of destination or collection, shall take precedence in accordance with Incoterms® 2020. Conflicting provisions on the passing of risk in these GTC shall not apply to that extent. The retention of title under Section 8 remains unaffected.
Where collection is agreed, the collection point is: FCA koziol »ideas for friends GmbH, Werner-von-Siemens-Straße 90, 64711 Erbach, Deutschland, Incoterms® 2020. Where DAP delivery is agreed, the delivery address agreed for the respective order is the place of destination.
The risk passes to the customer upon handover of the goods to the forwarding agent, carrier, or the person otherwise designated to carry out the shipment. In the case of collection, the risk passes to the customer upon provision of the goods and notification of readiness for collection.
8. Retention of Title
koziol retains ownership of the delivered goods until full settlement of all claims arising from the ongoing business relationship. The customer may resell the goods subject to retention of title in the ordinary course of business. The customer hereby assigns to koziol as security the claims arising therefrom; koziol accepts the assignment. The customer remains authorized to collect the claims as long as they duly meet their payment obligations.
9. Inspection, Notice of Defects, and Warranty
If the purchase is a commercial transaction for both parties, the inspection and notification obligations pursuant to Section 377 of the German Commercial Code (HGB) apply. The customer must inspect the goods immediately after delivery and notify koziol of any detectable defects in text form without delay. Hidden defects must be notified immediately after their discovery.
In the event of justified defects, koziol will, at its own discretion, provide rectification or replacement delivery. The customer must grant koziol the necessary time and opportunity for this purpose. If subsequent performance fails or is unreasonable, the customer is entitled to their statutory rights. Insignificant, commercially customary deviations in color, structure, dimensions, or design do not constitute a defect, provided the agreed use is not impaired.
10. Liability
koziol is liable without limitation for intent and gross negligence, for injury to life, body, or health, under the Product Liability Act, and to the extent of an expressly assumed guarantee.
In the event of a slightly negligent breach of essential contractual obligations, liability is limited to the damage typical for the contract and foreseeable at the time of contract conclusion. Otherwise, liability for slight negligence is excluded. The above limitations apply accordingly in favor of the legal representatives, employees, and vicarious agents of koziol.
11. Set-off and Right of Retention
The customer may only set off claims that are undisputed, ready for decision, or legally established. The customer is only entitled to exercise a right of retention insofar as their counterclaim is based on the same contractual relationship.
12. Intellectual Property Rights
Trademark, copyright, design, and other intellectual property rights to products, illustrations, catalogs, product texts, and other documents remain with koziol or the respective rights holder. Any further use requires prior consent in text form.
13. Place of Performance, Place of Jurisdiction, and Applicable Law
The place of performance for deliveries and payments is Erbach. The exclusive place of jurisdiction for all disputes with merchants, legal entities under public law, or special funds under public law is—as far as legally permissible—the registered office of koziol. koziol remains entitled to sue the customer at their general place of jurisdiction as well.
The law of the Federal Republic of Germany applies, excluding the UN Sales Convention.
14. Data Protection and Final Provisions
Information on the processing of personal data can be found in the shop's privacy policy. Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall replace any invalid provisions.
